Terms of Use & End-User License Agreement

These Terms of Use and End-User License Agreement (the "Terms") form a binding agreement between you ("you", the user) and Hugo Moriceau, sole proprietor, Switzerland ("we", "us", the "Provider"), governing your use of the QUOTR mobile application and all related software, content and services (the "App"). By downloading, installing or using the App you confirm that you have read, understood and accepted these Terms. If you do not agree, do not use the App.

1. License grant

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to install and use the App on Apple-branded devices that you own or control, solely for your own business or professional purposes, in accordance with the Apple Media Services Terms and the Apple Licensed Application End User License Agreement ("Apple Standard EULA"). Where these Terms conflict with the Apple Standard EULA, the more protective provision in our favour applies to the extent permitted.

2. Your responsibilities & accuracy of documents

The App helps you draft quotes, estimates and invoices. You are solely responsible for the content, accuracy, completeness and lawfulness of every document you create, send or rely upon, including all prices, quantities, tax rates, tax identification numbers, legal mentions and payment terms. You are responsible for ensuring that each document complies with the tax, accounting, invoicing and consumer-protection laws applicable to your business and your jurisdiction.

3. Not professional advice

QUOTR is a document-preparation tool. It does not provide tax, accounting, legal, or financial advice. Country tax configurations, rates, currency formats and legal-mention templates are provided for convenience only, may be incomplete or out of date, and must be independently verified against current regulations. Consult a qualified professional before relying on any document. We are not your accountant, lawyer or tax adviser, and no professional-client relationship is created by your use of the App.

5. Acceptable use

You agree not to, and not to permit others to: (a) copy, modify, reverse-engineer, decompile or disassemble the App except to the extent this restriction is prohibited by law; (b) rent, lease, lend, sell, redistribute or sublicense the App; (c) use the App to create false, fraudulent, misleading or unlawful documents; (d) circumvent usage limits, licensing or in-app purchase mechanisms; or (e) use the App in violation of any applicable law or third-party right.

6. Intellectual property

The App, its design, source code, trademarks, the "QUOTR" name and logo, and all related content are owned by the Provider and protected by intellectual-property laws. These Terms grant you a license only and do not transfer any ownership. Your content is yours: the quotes, clients, business profile, logo and signatures you create remain your property; the App stores them only on your device, and we claim no rights over them.

7. Disclaimer of warranties

The App is provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or that any document, tax rate or legal template is correct or suitable for your purpose. You use the App at your own risk, to the maximum extent permitted by applicable law.

8. Limitation of liability

To the maximum extent permitted by law, in no event will the Provider be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or for any tax penalties, fines, missed deadlines, or losses arising from inaccurate documents, however caused and under any theory of liability. Our total aggregate liability for all claims relating to the App will not exceed the greater of (a) the amount you actually paid to Apple for the App in the twelve (12) months before the event giving rise to the claim, or (b) CHF 50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; nothing in these Terms limits liability that cannot be limited by law (such as for gross negligence or wilful misconduct).

9. Indemnification

You agree to indemnify and hold harmless the Provider from any claim, demand, loss or expense (including reasonable legal fees) arising out of your use of the App, the documents you create, your breach of these Terms, or your violation of any law or third-party right.

10. Apple as third-party beneficiary

These Terms are between you and the Provider only, not with Apple. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App, and to the extent any warranty is not effectively disclaimed, Apple may refund the purchase price (if any). Apple is not responsible for addressing any claims relating to the App, including product-liability, regulatory, or intellectual-property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist-supporting", and are not on any U.S. Government restricted-parties list.

11. Termination

These Terms apply until terminated. Your license ends automatically if you breach them. We may suspend or discontinue the App, or any feature, at any time. You may end the agreement by ceasing use and deleting the App. Sections that by their nature should survive (including 2, 3, 6–9 and 12) survive termination.

12. Governing law

These Terms are governed by the laws of Switzerland, without regard to conflict-of-laws rules. Subject to any mandatory consumer-protection rights you have in your country of residence, the courts of the Provider's domicile in Switzerland have exclusive jurisdiction over disputes arising from these Terms.

13. Changes

We may update these Terms to reflect changes to the App or the law. The "last updated" date shows the latest version. Continued use after changes take effect constitutes acceptance. If you do not agree, stop using the App.
